7.5 The administration of the Turk Baba application and website is not responsible for any damages incurred by you as a member or user, whether direct, indirect, special, consequential, disciplinary, or incidental, arising out of or in connection with any of the acts committed by the service provider, merchant or industrialist except in the event of your explicit choice that the business process being through Turk Baba, including, but not limited to:

* Violation of specifications and agreement.
* Delays in deliveries and receipts.

The content, products, and services provided through the Turk Baba application and website are provided by industrialists and merchants without any interference or modification by the application administration and without guarantees or warranties of any kind, and to the maximum extent permitted by law.

Terms and conditions of use of the service provider/creator/merchant

8. Your presence with us and offering your services through the Turk Baba application and website is of great importance to us and requires us a lot of effort and work to ensure your protection and the protection of all users. The administration of Turk Baba has the right to cancel or freeze membership without any warning or notification.
11. 11.It is strictly prohibited on all Turk Baba sites, pages, and applications to promote any pornographic or offensive material or product or promote any material or product that is not permitted in the Republic of Turkey. By claiming, complaining, and filing a legal and criminal case against the violator and their institution.
12. 12. These terms and conditions, as current or modified from time to time, govern any services provided by the website, its affiliate pages, and the Turk Baba App.

3- The ability to search either by product or by company name.
4- The ability to pay online.
5- Control Panel: The control panel enables work supervisors to manage users' accounts and view deals or commercial conversations.
6- Technical support icon: It allows communication with the application or website management through direct chatting through the Firebase service or through the support card.
7- Creating a way to control packages and their prices, which affects their appearance in the search engine, according to each package.
8- Determining the appearance of companies or products in search engines (impressions).
9- Creating a mechanism for registering the company or merchant for the product itself (after approval of the application management) and paying the fees.
10- Establishing a system of notifications for users, companies, and merchants.
11- Activating the web interface for the user, just as in the application.
12- The possibility of adding a written conversation between the producer and the merchant buyer.
13- The possibility of registering and finding trademarks in the Republic of Turkey.
14- The possibility of shipping and transportation under the supervision and guarantee of Turk Baba.
15- The possibility of obtaining a commercial agency under the supervision of Turk Baba.

* Helping you as a user in searching for factories, companies, and products that match your needs by providing the maximum number of options.

User Member Responsibilities

27. When the user creates an account in the Turk Baba application or website, he provides the mobile phone number and creates a password. The user should maintain the privacy of his data and not share it with others. Accordingly, if the password is stolen or disclosed, the user must immediately notify the application and site administration to communicate with it according to the indicated means of communication.

* The user is responsible for reviewing and complying with the terms and conditions and their amendments to the privacy policy issued by the application and website administration.

Fee and refund

28. 28. To manage the Turk Baba application and website, impose any fees it deems appropriate for the membership of companies, industrial individuals, or merchants, or to download and upload any product on the platform, or to subscribe through an annual subscription or any other contractual form.
29. 29. The contractual period for service providers is one Calendar year, starting with the date of signing the contract and automatically renewed unless one of the parties requests the termination of the contract before a period of not less than a month from the date of the end of the contract.
30. 30. The application management has the right to cancel the subscription of any of the service providers, merchants, or companies by violating any of the terms of use and privacy.
31. 31. The buyer or user is not entitled to request a refund of the payments or amounts provided in exchange for the services provided by the Turk Baba application and website. Using a Visa or MasterCard card or any other payment gateway provided by the application administration.
32. 32. The application management has the right to modify the services or fees provided at any time without prior notice.
33. 33. The application management has the right to stop the services or fees provided at any time without prior notice.
34. 34. The application management does not bear the responsibility towards the user or any third party for modifying or stopping the services and fees provided.

General Terms and Conditions

35. 35. By agreeing to the terms of use of the application, you, as a user of the Turk Baba application and website, undertake the following:

Property rights

38. 38. All rights reserved to Turk Baba and it alone has the right to manage the application.
39. By agreeing to the Terms of Use, you acknowledge that we own and retain all rights, title, and interests in and to the Turk Baba Website and App, including all icons and tools used and components of the App, and all content in the App except for Your Content.
40. The content provided by the application and the site administration and provided by others is protected by the laws of trademarks, copyrights, patents, and other intellectual property rights. In addition, the entire content of the application and the website is a compilation work subject to Turkish and international copyright laws and treaties. 39. Turk Baba reserves the right to:

(4) The user (merchant/creator/user member) may not use the contact information provided by users of the application or the website and its related pages or collect this information for the purpose of sending or facilitating the sending of unsolicited bulk communications, such as spam. The user may not allow others to use his account in violation of the terms of this section. Accordingly, the administration of the application may terminate the user's registration or access to the services and take other legal measures in the event of a violation of these provisions by the user or who uses the user's data.

Transfer of ownership and management

40. 40. Turk Baba Electronic Commerce and Information Limited as the legal owner of the Turk Baba application may waive or transfer the ownership of the application or transfer the management of the application including this agreement at any time, including but not limited to any holding company, subsidiary or affiliated company, or as part of the sale of the company to any third party or a merger with it or any measure to transfer the ownership of the company to any third party. Conversely, the User may not assign, transfer, or sublicense this Agreement to any other person, and any attempt to do so shall be deemed a breach of law.

Termination of the agreement and suspension of work

41. 41. These terms shall continue to be applied until they are terminated by you or by the administration of the application or website.

You may decide to terminate it at any time and for any reason by discontinuing the use of the Communications and deleting your account, if applicable.

42. 42. As an application and site administration, we may suspend or terminate your access to the Communications at any time and for any reason, for instance, if we reasonably believe that:

Applicable laws

Your use of the Turk baba website and application means that you expressly agree that the laws of the Republic of Turkey, regarding the principles relating to conflict of laws, apply to these Terms of Use. You agree that any dispute of any kind that may arise between you and Turk Baba shall be subject to these laws.

Disputes

47. 47. Any dispute related in any way to the use of the Turk Baba application and website will be referred to commercial arbitration in Istanbul, Republic of Turkey. You accept the exclusive jurisdiction of the Istanbul City Courts. The arbitral award shall be binding and capable of being rendered in the form of a court ruling in any court within the jurisdiction. To the fullest extent permitted by applicable law, arbitration under this Agreement may not be combined with any arbitration of any other party subject to this Agreement, whether through ordinary arbitral proceedings or otherwise.

Any dispute or claim arising out of or related to this contract, violation of its provisions, rescission, or invalidity shall be considered by the competent Turkish courts in Istanbul.

This terms and conditions document consists of 47 articles interspersed with many paragraphs and your use of the Turk Baba application and website means your explicit acceptance of all these terms and paragraphs without any deduction or exception.
